At Hibbett, we have a clear sense of our purpose and consistent values demonstrated through our corporate strategy, which we refer to as our MVPs:
Environmental, social, and governance (ESG) issues and initiatives are a priority for us and are embedded in our culture and across our MVPs. We believe it is core to our overall success, as well as the success of our employees, the customers and communities we serve, our vendor partners, and our shareholders.
Our purpose, values and commitment to our stakeholders are evident throughout this Fiscal 2023 ESG Report, as we share our commitment to ethical business practices, our culture of service, our diversity, equity and inclusion efforts, and the ongoing progress we have made on our sustainability journey.
In an effort to maintain transparency and accountability, our 2023 ESG Report also includes disclosures aligned with the Sustainability Accounting Standards Board (SASB) Index and the Task Force for Climate Related Financial Disclosures (TCFD). *These disclosures can be found in an index at the end of this report.

Although Hibbett | City Gear has proudly served local communities for seventy-five plus years, we continue to evolve as an organization, guided by four key principles: win as a team, bring unrivaled customer experiences, represent the community, and do the right thing. These principles are foundational to shaping our culture and serve to embed ESG into our strategy and value system.
I am a firm believer in being deliberate about our culture, and that starts with our leaders being aligned to our principles and values and empowering them to lead across the organization. For many leaders within our organization, it is their first time in a leadership role, particularly those running our stores. We take a great deal of pride in hiring from the communities we serve, equipping them with skills, confidence, and a sense of ownership of the stores they operate. Leaders empowered in this way serve a vital role in reinforcing our principles and values across our nearly 11,000 associate strong organization, as well as with the millions of customers with whom we interact.
One of the key elements that is embedded into our culture and value system is the expectation of treating each other with dignity and respect. This is important to us from our local stores, distribution centers, Store Support Center, to our vendor partners. We draw a great deal of organizational strength from the diversity of our teams, and we learn from each other every day. We believe being authentic in our representation of the communities, especially the richness in diversity it brings, is the right way to do business and gives us a competitive advantage.
Throughout this report, you will see examples of active work and ambitious plans as we amplify our focus on our corporate responsibilities and ESG opportunities. Part of this responsibility is balancing being thoughtful about sustainability with returns to our shareholders. Our Board of Directors has overall oversight and accountability for our ESG efforts. Our Board is committed to continuing education and development on a number of topics, including ESG.
Hibbett’s Board is comprised of three committees, each of which participates in ESG efforts under its particular charter:
The Nominating and Corporate Governance Committee is assigned primary oversight of our ESG efforts, including reviewing quarterly updates from Hibbett management and monitoring evolving disclosure requirements. The Audit Committee has direct responsibility for risk assessment and risk management, including cybersecurity, data privacy, and assurance, while the Compensation Committee oversees Human Capital Management issues including pay equity and diversity and inclusion initiatives.
Our Senior Vice President and General Counsel is the executive sponsor for our ESG program and reports directly to our CEO and the Board.
We have an established ESG Working Group that meets quarterly and includes members from Merchandising, Store Operations, Digital & Marketing, Store Development, Human Resources, Legal, Finance & Accounting, Information Technology, Supply Chain & Procurement, and Corporate Strategy.
In addition, our Sustainability Taskforce, which is a subcommittee of the ESG Work Group, meets at least bi-annually or more often as needed to discuss current sustainability initiatives and emerging opportunities. These cross-functional teams drive ESG strategy across our organization.

In FY2023, Hibbett underwent a comprehensive materiality assessment conducted by Forvis, a third-party accounting and advisory services firm. This assessment was conducted to learn more about ESG expectations from the perspective of different stakeholders. Customers, investors, vendor partners, and internal management were interviewed and/or participated in surveys identify key topics of focus to inform our existing and future ESG strategy.
Immediately following the materiality assessment, Hibbett engaged independent auditor Ernst & Young to perform an assessment of compliance readiness and disclosure quality in preparation for the United States Securities and Exchange Commission’s proposed rules on climate-related disclosures.
In FY2024, Hibbett’s executive management team and its Board of Directors plan to use these assessments to determine the Company’s long-term ESG strategy and develop a roadmap for the future of its ESG initiatives.
Enterprise Risk Management
Our Enterprise Risk Management (ERM) Committee has primary responsibility for understanding and managing all risks, including those related to ESG, which may impact our ability to achieve our purpose and objectives. The ERM Committee meets quarterly to discuss significant enterprise-level uncertainties.
Each year, these top-tier risks are assessed and re-prioritized based on the current environment. Our Board receives a comprehensive annual report, along with periodic updates regarding emerging risk information and new mitigation efforts from our SVP and General Counsel, who leads our ERM efforts.
Operating a responsible business – Ethics and Compliance
Hibbett has an established system of governance which starts with our commitment to ethical business practices and standards. Hibbett’s Code of Business Conduct and Ethics includes our policies on conflict of interest, compliance with insider trading laws, acceptance of gifts, and prohibition against corruption.
These policies must be reviewed and signed annually by all corporate employees and certain management employees in the field. The Audit Committee of our Board directly oversees our Code of Business Conduct and Ethics, which can be found here.
Providing training opportunities to our employees is crucial to ensure adherence to our ethics and compliance obligations. In FY2023, employees at our headquarters, select management employees in the field, and all of our Board members underwent comprehensive and interactive Insider Trading training. We look forward to providing additional ethics training to our employees and Board members in the future.
Board Independence
One of our key governance highlights is independence of our Board of Directors. Nine Directors of our ten-person Board are independent, including our Chairman of the Board. Our three Board Committees are comprised entirely of independent Directors. At least once per year, our Board and management team engage in an in-depth discussion and align on our corporate strategy, including our ESG efforts. For more detailed information on our Board of Directors and corporate governance matters, please refer to our 2022 Proxy Statement.
Vendor Compliance
Operating our business in a responsible manner and doing the right thing has always been a part of who we are as a company. Our longstanding desire to do the right things flows to our vendors, our stores, to our e-commerce platform, and the way we handle customer data.
Hibbett contractually requires its vendors to adhere to strict standards of compliance and ethics. These efforts are led by our General Counsel. We prohibit our suppliers from using forced or child labor in the manufacturing of the merchandise we purchase and require our suppliers’ compliance with the laws of the country where our merchandise is produced.
We require evidence of compliance with the Consumer Product Safety Act for applicable vendors and mandate that all goods purchased by us from these vendors are free from defects and hazardous substances and that any associated marketing by these vendors is truthful and accurate. In addition, all of our vendors are expected to comply with our Conflict Minerals policy. Our Vendor Compliance Manual can be found here and incudes our Conflict Minerals policy.
Prohibitions against Harassment, Discrimination and Retaliation
Hibbett is committed to providing equal opportunity and fair treatment to all individuals on the basis of merit, without discrimination because of race, color, religion, national origin, sex (including pregnancy), age, disability, veteran status, gender identity, sexual orientation or other characteristic protected by law. We prohibit harassment in any form by anyone.
To support this commitment, we provide training on discrimination, harassment, retaliation, and other issues, such as wage law compliance and fraud, to our entire team. We have a “Speak Up” policy which clearly communicates that any concerns related to such issues should be reported immediately to management or by phone or online through our Ethics & Compliance Hotline. Employees are also given the option to report issues anonymously if they desire.
At our stores, in our corporate office and in our logistics facility, retaliation against whistleblowers or employees making complaints of improper workplace conduct is strictly prohibited, clearly communicated to all employees, and monitored by our Human Resources Department. Our employees have the right to freely associate and the right to discuss wages, hours or other terms and conditions of employment.
As a result of our work, we are proud to report that we had no significant monetary losses from legal proceedings associated with employment discrimination or labor law violations.
Data Stewardship
Our commitment to operate with a focus on safety and encourage transparency and honesty can be seen in the way we handle the digital well-being of our team members and customers through protection of our company, customer and employee data. We have security measures designed to protect against the misappropriation or corruption of our systems, intentional or unintentional disclosure of confidential information or disruption of our operations.
Additionally, we strive to be transparent in our collection of data from our customers and have a platform to allow customers to make requests for information on the data we have collected, as well as requests to delete such data. Our Chief Information Officer (CIO) has primary responsibility for our cybersecurity and data privacy work and directly reports on these efforts and risks to senior management and the Audit Committee of our Board.

Hibbett currently utilizes National Institute of Standards and Technology of the U.S. Department of Commerce (NIST) risk management and privacy management frameworks as the basis for its risk management process for information security. Risks are evaluated and remediation plans are developed as needed. We also complete a third-party security and maturity assessment of our IT security portfolio.
Hibbett utilizes an Information Security Awareness program that provides team members with an understanding of the foundations of information security through regular communications and newsletters. In addition, the IT Privacy and Compliance team manages monthly company wide Information Security education and awareness campaigns and phishing tests to determine compliance with company policies and best practices and to determine additional focus needs.

The Information Security team has a number of policies and administrative procedures that provide guidance around Information Security and Risk Management requirements. These policies are updated regularly to align with industry standards, regulatory requirements and contractual obligations.
Hibbett’s IT Privacy and Compliance team reviews vendors when they are onboarded and as needed to review the information and applications involved and advise on the appropriate controls and ensure the adequate information security contractual obligations are in place.
Hibbett utilizes vulnerability management tools and exercises such as scans and penetration tests, which are aligned with a vulnerability remediation strategy for all Hibbett-owned assets.
In the event of a data breach, the Company has a documented incident response plan with defined incident severity levels and actions to be taken. Our incident response plan is tested regularly, including through “tabletop” exercises in which a security breach is simulated. These practice exercises are led by our General Counsel with guidance from our CIO and Information Security Officer (ISO). Senior management and members of our Board of Directors actively participate and contribute to such exercises. In addition, our entire Board underwent cybersecurity training last year.
We know that doing the right thing is a constant and evolving process. We are committed to the highest standards of ethics and compliance in all aspects our business – from our Board of Directors down. We will continue to monitor these standards and pledge to attempt to conduct ourselves ethically, operate with a focus on safety, and encourage transparency and honesty in all that we do.

We are continuously working to improve our DE&I efforts as seen through our ongoing recruiting efforts at Historically Black Colleges and Universities (HBCUs) and our partnership with UAB’s Office of Diversity, Equity, & Inclusion. This local university provides education and training to our associates and members of our Board of Directors on this important topic.

Ignite is open to all employees who share in and want to contribute to its mission.
In its first year, Ignite asked, listened and answered. Female employees were asked what educational and service projects were most important to them. Based on this feedback, we provided approximately 75 men and women at our store support center with educational programming on financial wellness and mental health.
The women at our store support center also clearly expressed an interest in supporting other women and children facing instability in their lives. Ignite answered this call by providing opportunities to feed breakfast, lunch, and dinner at First Light, a homeless shelter serving women and children in the Birmingham, Alabama area. Through this work, Ignite fed 50 women and children during the holidays. Ignite was also able to bring holiday cheer to school aged girls at Girls’ Inc., a non-profit organization which encourages all girls to be strong, smart and bold. The women of Ignite provided approximately 75 girls with holiday gifts and the opportunity to decorate gingerbread houses during the holiday season.
Together, Hibbett | City Gear and Nike are amplifying the voices of those who stand out. We celebrate women who pave the way for others and play by their own rules.
We want to encourage Gen-Z girls and millennial women to knock down boundaries and create their own stories through self-expression and being themselves. To do this, we have brought together a community of strong, successful women in sports and business to share their stories in a series of mini episodes about the power that comes with being a woman, how to find power through sport and how to showcase the power that comes from fashion and style.
Episodes this year featured special tributes to the many cultures and heritages of our community through Native American, Hispanic, and Asian Americans and Pacific Islanders (AAPI) Heritage Month videos and content. In addition to providing dynamic video content, the Support Her Sole™ program expanded to community givebacks this year. Along with Nike, Hibbett donated $50,000 to the women’s athletic program at Fultondale High School after a tornado destroyed their school.
Hibbett and Nike also teamed up with the Memphis Grizzlies and surprised 20 deserving girls with a $500 shopping spree.

At Hibbett, we understand that maintaining an inclusive and high-performance culture requires an engaged workforce, where associates are motivated to do their best work every day.
Last year, we expanded our employee engagement survey to all employees, giving them a channel for feedback on a variety of topics, such as company direction and strategy, individual growth and development, collaboration, confidence, and trust.
The results of the survey showed that over 84% of our associates feel as though they perform meaningful work and 78% would recommend working with us.
We believe in fostering an environment that prepares talent for growth and advancement within the organization. We offer monthly professional development sessions for senior leadership including course offerings such as team development, unconscious bias, and goal setting/performance management.
LinkedIn Learning licenses are provided for all corporate employees and offers a variety of learning paths and collections ranging from leadership development to professional success.
Although employee turnover is traditionally high at retail companies, we continuously look for ways to improve in this area. Our engagement approach centers on growth and development, communication, and recognition.

We reflect the diversity of the communities we serve and strengthen our connectivity through local events and social programs. We believe it is important to invest in our youth and give back to the communities we serve in a meaningful and impactful way.
The primary way we do that is through our Sole School program.
Founded by City Gear in 2015, Sole School is a community giveback program through which local stores connect with and provide support to underserved schools and athletic programs in their neighborhoods.
As part of the Sole School program, sponsored schools receive a yearly financial gift, donations of equipment, footwear and backpacks, and interested students are given the opportunity to be mentored by local store management staff. Sole School also opens the door for employment within these stores.
Since the program's initial launch in 2015, Sole School has impacted hundreds of schools in need and promising student-athletes. Sole School includes both local City Gear and Hibbett stores and in partnership with Nike, provided funds and merchandise to 94 schools across 36 states to help support education and athletics.
Sole School® is not just a charitable contribution to us. It is part of our culture of service and embedded into our purpose and values.
In total and in conjunction with Nike, we provided over $600,000 to 94 schools in Fiscal Year 2023. We live, work and play in the communities we serve. We are dedicated to hiring locally and take pride in developing associates into diverse, inclusive, and engaged leaders.

For Oak Cliff is a non-profit organization based in Dallas, TX serving the South Oak Cliff community. Its mission is to provide “culturally responsive initiatives in South Oak Cliff to liberate the community from systemic oppression, create a culture of education, and increase social mobility and social capital.”
In FY2023, Hibbett partnered with Jordan Brand to support For Oak Cliff and the community by donating 1,000 backpacks to be given away at the 8th Annual Back to School Infinity Festival.

Hibbett x Jordan Brand For Oak Cliff Media Lab Reveal

In addition to this donation, For Oak Cliff received $50,000 on behalf of Hibbett and Jordan Brand to help with funding for the organization’s new Multimedia Lab.
With this donation, For Oak Cliff aims to equip the lab with different technologies like graphic design video editing software and cameras to help teach the community graphic arts including photography, filmmaking, music production and more.
In celebration of “Banned Day” on October 18, 2022, Hibbett also partnered with For Oak Cliff to provide a custom mural that comprises an entire wall in the lab and features the faces of For Oak Cliff community children who will benefit from the new lab’s offerings. All of the children in the mural were gifted a pair of Jordans as part of the event.

af1 40th-anniversary donation
Hibbett and Nike partnered to present a $50,000 check to the Parkview High School faculty during their annual holiday luncheon this year.
The donation was part of the celebration of the 40th anniversary of Nike Air Force 1 sneakers.
The donation was earmarked as part of Hibbett’s ongoing outreach to connect with neighborhood schools and align with our goal of giving back to the communities we serve.
Parkview plans to use the money to support their Athletics, Fine Arts, Professional Development, and After School activities.
fresh off the block
In FY2023, City Gear, in conjunction with Nike, launched a new video series which takes viewers to a new city to explore the area’s impact on the music scene, basketball, personal style, and the neighborhoods behind the city’s heartbeat.
In honor of the inaugural Fresh Off The Block city showcase, City Gear and Nike donated $50,000 to Building Blocks Mentoring Program, a Memphis, TN community giveback organization that supports area youth with mentoring to empower social development, education, and self-awareness.
HBCUs
In honor of homecoming season, our City Gear brand and Nike partnered with three HBCUs: Florida A&M University in Tallahassee, Clark Atlanta University in Atlanta, and Tennessee State University in Nashville.
City Gear stores in each area hosted homecoming celebrations featuring live broadcasts by local radio stations, gift card and swag giveaways, and entertainment by school spirit groups.
In addition to these in-store events, City Gear and Nike also awarded $10,000 to each university.
We are a long-term corporate partner with the United Way of Central Alabama. The United Way drives positive community impact by supporting education, low-income families, and healthy lifestyle initiatives. In FY2023, Hibbett and its associates pledged over $90,000 to support UWCA and its community partners.
Autism Speaks
In 2022, Hibbett was proud to donate 5% of profits from each Wilson “Love The Moment” Glove sold during a 5 month period to Autism Speaks. Autism Speaks is dedicated to promoting solutions, across the spectrum and throughout the lifespan, for the needs of individuals with autism and their families.
armando bacot Back to School
basketball camp
Hibbett partnered with Puma to provide 200 backpacks, 200 pairs of shoes, and basketballs to the attendees of UNC Forward/Center Armando Bacot’s back to school basketball camp. The two-day event was held in September in Bacot’s hometown of Richmond, VA. In addition to Bacot, the BTS basketball camp featured special guests and teammates Caleb Love and RJ Davis, as well as Ed Davis of the Cleveland Cavaliers.
RAMSAY HIGH SCHOOL DONATION
In 2022, Hibbett donated backpacks and $1,000 for new athletic equipment to Ramsay High School. Hibbett also donated an additional $5,000 to replace items lost in a gymnasium fire.
Children's Hospital of Alabama
For the third consecutive year, we partnered with Puma to make a donation of shoes and apparel to Children’s Hospital in Birmingham for their clothing closet, as well as a Secret Santa Shop where parents of hospitalized children shop for holiday gifts at no cost to them. $20,000 and more than $30,000 worth of goods were donated to this worthy cause.
Community Food Bank of Central Alabama
After learning of a need at the Community Food Bank of Central Alabama, we donated a pallet mover to the organization to assist with the food bank’s mission of providing millions of meals across central Alabama each year. The Community Food Bank of Central Alabama provides fresh produce and groceries to seniors, children at risk of hunger during school breaks, patients facing chronic illness, first-time mothers, and others in need.
UNITED ABILITY SUMMER JOBS PROGRAM
We continued our partnership with United Ability of Alabama and hosted a worksite for its six-week summer Job Exploration Training Services (JETS) program.
The JETS summer program enables high school students with varying abilities to receive on-the-job training, mentoring and work experience, side-by-side with other Hibbett associates at our logistics facility. After the summer was over, two of the United Ability employees were offered jobs at our logistics facility.
As a result of this work, Hibbett | City Gear won the Large Employer of the Year from the Alabama Association of People Supporting Employment First (APSE).
The mission of the Alabama Chapter of APSE is to enhance innovative, individualized employment opportunities, promote careers, and improve the quality of life for individuals with significant disabilities by providing education, technical assistance and training, advocacy and support to people, family members, employers, and employment specialists.
The World Games 2022
We were thrilled to be a sponsor of The World Games 2022 which took place in Birmingham, Alabama. The World Games is an 11-day sports celebration held in the year following the Summer Olympic Games.
The Games represent the highest level of competition for more than 3,600 international athletes and 30+ unique sports.
In conjunction with our sponsorship, we teamed up with local artists to sponsor four murals across the city highlighting the events.

cutz for kids
For Back to School 2022, our City Gear and Hibbett stores hosted 19 Cutz for Kids events. Along with providing free haircuts to kids in-stores, Hibbett and City Gear gave away free school supplies at each event, thanks to sponsorships from Nike, Jordan, adidas, Puma, Reebok, Staple, New Balance, Levi’s and Born Fly.

Holy Family Cristo Rey Catholic High School
We also continued our partnership with Holy Family Cristo Rey Catholic High School, a local school which integrates college preparatory academics and a corporate work-study program to economically challenged students. High school students work at our corporate office throughout the school year.
Local Relief
Our Hibbett and City Gear associates raise money for the local communities we serve for disaster relief, provide supplies to community shelters, and host food and clothing drives. As a result of these efforts, we hosted 1,160 hyperlocal events, resulting in hundreds of volunteers, hundreds of communities impacted, and thousands of lives changed for the better. Here are just a couple of examples of these hyperlocal events:

During the 2022 holiday season, Hibbett managers in Louisiana teamed up to provide bags of food and essential items to 250 homeless individuals in the New Orleans area
In Buffalo, New York, a 12-year-old student purchased and gifted a pair of sneakers to one of his classmates this past Christmas after having seen the boy bullied because of his worn-out shoes.
Inspired by this genuine act of kindness, the local Hibbett team awarded both students a $1,000 gift card and a year's supply of free sneakers each.

Sustainable Product Offerings
We continue to collaborate with our largest vendor partners to offer sustainable and eco-friendly products. We support Nike Move to Zero, a closed-loop process that uses manufacturing scrap, unsellable products, and worn-out shoes to make new Nike products, by significant marketing, social media, and in-store displays.
We also offer other sustainable products, including the Adidas Parley collection of shoes and apparel partly made with recycled ocean plastic and certain The North Face products made with recycled polyester and nylon. We offer sustainable products from Under Armour, Puma and Crocs, as well.
Our biggest vendor partners are environmentally conscious and are the best source for sustainability information on the products we sell. For more information about their unique sustainability initiatives, please visit their websites directly.
Looking to the Future
It is more important than ever to stay true to our purpose and focus on the long-term, while maintaining agility and adapting to the new world around us. We are proud of our previous accomplishments, but like any winning team, we must recognize risks and opportunities to improve our performance.
